1. ACCEPTANCE OF TERMS

1.1 These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User") and Cowries Money Co Ltd ("Agowork", "we", "us", or "our") governing your access and use of:

• The Agowork platform (website and mobile application)

• All associated services including but not limited to job postings, freelance matching, payment processing, and escrow services (collectively, "Services")

1.2 By registering an account or accessing our Services, you:

• Confirm you have read, understood, and agreed to these Terms

• Warrant that you have legal capacity to enter into this agreement

• Acknowledge our Privacy Policy and Acceptable Use Policy

1.3 If you disagree with any provision, you must immediately cease using our Services. Continued use constitutes acceptance of any revised Terms.

2. DEFINITIONS

2.1 Key terms shall have the following meanings:

• "Platform": The Agowork digital ecosystem accessible via website and mobile apps

• "Client": User posting jobs or purchasing services

• "Freelancer": User offering professional services

• "Escrow": Our secured payment holding system

• "Content": Any data, text, images, or materials uploaded

3. ELIGIBILITY AND REGISTRATION

3.1 Eligibility Requirements

To use Agowork, you must:

• Be at least 18 years old or the age of majority in your jurisdiction

• Have full legal capacity to contract

• Not be a convicted financial crimes offender

• Not be on any sanctions lists

3.2 Account Registration

3.2.1 You must provide:

• Legal full name

• Valid email address

• Active mobile number

• Government-issued ID (for KYC verification)

3.2.2 Business accounts must additionally provide:

• Certificate of incorporation

• Tax identification number

• Proof of business address

3.3 Identity Verification

3.3.1 We employ multi-stage KYC processes including:

• Document verification

• Biometric authentication (where required)

• Bank account validation

3.3.2 Unverified accounts have restricted transaction limits.

4. USER ACCOUNTS

4.1 Account Security

4.1.1 You are responsible for:

• Maintaining password confidentiality

• Implementing two-factor authentication

• Immediately reporting unauthorized access

4.1.2 Agowork implements:

• AES-256 encryption

• Regular security audits

• Suspicious activity monitoring

4.2 Account Restrictions

We may impose limitations on:

• Transaction volumes

• Withdrawal frequencies

• Service access tiers

5. SERVICES AND FEES

5.1 Service Offerings

Agowork provides:

• Freelancer-client matching

• Project management tools

• Payment processing

• Dispute resolution services

5.2 Fee Structure

5.3.2 Escrow funds are released upon:

• Mutual agreement

• Dispute resolution outcome

• Automatic release after 14-day inactivity

6. INTELLECTUAL PROPERTY

6.1 Ownership Rights

6.1.1 Users retain ownership of submitted Content but grant Agowork:

• A worldwide, non-exclusive license to display and distribute

• Rights to use anonymized data for analytics

6.1.2 Platform IP (logos, software) remains our exclusive property.

6.2 Copyright Protection

6.2.1 DMCA-compliant takedown process for infringing content.
6.2.2 Repeat infringers face account termination.

7. PROHIBITED CONDUCT

7.1 Restricted Activities

Users must not:

• Engage in fraudulent transactions

• Circumvent payment systems

• Post illegal or harmful content

• Violate export control laws

7.2 Sanctions Compliance

7.2.1 We prohibit transactions involving:

• Sanctioned individuals/entities

• High-risk jurisdictions

• Restricted industries

8. LIABILITY AND DISCLAIMERS

8.1 Service Availability

8.1.1 We aim for 99.5% uptime but don't guarantee uninterrupted access.

8.1.2 Scheduled maintenance notices will be provided 48 hours in advance.

8.2 Limitation of Liability

8.2.1 Our maximum aggregate liability is limited to fees paid in the preceding 6 months.

8.2.2 We exclude liability for:

• Consequential damages

9. TERMINATION

9.1 By User

Users may deactivate accounts with 30-day notice.

9.2 By Agowork

We may immediately terminate accounts for:

• Terms violations

• Suspicious activity

• Legal compliance requirements

10. GOVERNING LAW AND DISPUTES

10.1 Applicable Law

These Terms are governed by Cameroonian law, with supplemental application of:

• EU consumer protection laws

• Nigerian NDPR

• South African POPIA

10.2 Dispute Resolution

10.2.1 Mandatory mediation before litigation.
10.2.2 Exclusive jurisdiction: Courts of Bamenda, Cameroon.

11. AMENDMENTS

11.1 We reserve the right to modify these Terms with 30-day notice.
11.2 Material changes will be communicated via:

• Email notification

• Platform announcements

• SMS alerts

12. GENERAL PROVISIONS

12.1 Entire Agreement: Supersedes all prior agreements.
12.2 Severability: Invalid provisions will be modified to remain effective.
12.3 Assignment: Users may not transfer rights without our consent.
